Nivel 1 · Referido. Se aceptan en línea (click-accept) para traer clientes y ganar 25% durante 12 meses, renovable por actividad (nunca vitalicio). Sin LLC, sin compra, sin contrato pesado — pero la aceptación te obliga y protege la propiedad de Vendau. ES/EN.

By accepting these Referral Terms, you (the "Referrer") agree to refer clients ("Dealers") to the Vendau platform and receive a referral share, on the following terms.

1. You are an independent referrer — not Vendau. You introduce prospective Dealers. You are not Vendau, its agent, employee, or partner, and you may not represent otherwise or make promises on Vendau's behalf. No LLC, entity, or purchase is required for this level.

2. Vendau's IP is 100% Vendau's. All software, source code, brand, domains, infrastructure, designs, and methods are and remain the exclusive property of Sergio Ignacio Durán García / Vendau. You receive no ownership and no rights in them. You will not copy, replicate, reproduce, reverse engineer, or build or assist any product that imitates or competes with Vendau using anything you learn here.

3. Confidentiality & non-circumvention. From the moment you accept, you keep confidential all non-public information (pricing, features, methods, the program), use it only to refer, and you will not circumvent Vendau to deal directly with any Vendau technology, provider, or Dealer introduced through Vendau. These survive indefinitely for trade secrets.

4. Your share — 25% for 12 months, renewable by activity (never perpetual). For each Dealer you refer who is accepted and pays, you receive 25% of the profit (the Dealer's payment minus API/usage cost) on that Dealer's payments, as follows:

   (a) Initial term — 12 months, guaranteed. Twelve (12) months counted from that Dealer's start date (the Dealer's first paid month), for as long as the Dealer remains active and paying. This initial term is not subject to the activity test in (b).

   (b) Renewal by activity — one new Dealer every 6 months. After those 12 months, your share on that Dealer continues in successive 6-month renewal periods. Each renewal period begins only if you referred at least one (1) new Dealer who started paying during the immediately preceding 6 months.

   (c) If you don't refer, it ends. If on any renewal date you did not bring a new paying Dealer in the preceding 6 months, your share on that Dealer ends permanently on that date. Referring a Dealer afterwards starts a new 12-month term for that new Dealer only — it does not revive an ended share.

   (d) Example. A Dealer you referred starts on January 1, 2026. Your 25% is guaranteed through December 31, 2026. On January 1, 2027 we look at the previous 6 months (July–December 2026): if no new Dealer of yours started paying in that window, your share ends that day; if one did, it continues to July 1, 2027, when the same test applies again, and so on.

   (e) In all cases the share runs only while that Dealer remains active and paying, only while Vendau offers the program, and is subject to termination for breach. This is not a lifetime or unconditional promise. Start dates and renewal dates are recorded by Vendau and are the ones that count.

5. Vendau collects; you receive net. The Dealer pays 100% up front through vendau.com (Vendau's processor). Vendau absorbs the processor fees and pays you your 25% net. You do not collect from the Dealer and do not handle Dealer payments at this level.

6. Limit of this level. Casual referrals only — up to 1 new Dealer per month. If you want to sell in volume, collect payments yourself, get a full partner panel/tools, exclusivity, or white-label, that is a separate level requiring an LLC and the Vendau Licence Partner Agreement.

7. No exclusivity; revocable; no obligation of Vendau. Non-exclusive: Vendau sells directly and works with others, including in your area. Vendau may decline, delay, revoke, or terminate your referral status or any referral at any time, for any reason or none, and owes you no minimum leads, volume, territory, uptime, or renewal. You get no access to Vendau's code, servers, or data beyond your own referral link and the status of your referred Dealers.

8. Electronic acceptance. You accept by checking the box and submitting your name as electronic signature; recorded with version, date, name, IP, and browser. Acceptance binds you immediately.

9. Governing law. Delaware law; disputes by binding arbitration (ICDR/AAA) seated in Miami, FL; Vendau may seek injunctive relief in any court to protect its IP or confidential information. Vendau may update these Terms; the version in force is the one you accepted.

10. Discontinuation, sale, or change of control of the platform. Vendau may discontinue the platform, this program, or any part of either at any time, for any reason, on 30 days' notice where practicable. On discontinuation, this document, your licence or referral status, any exclusivity, and all shares and commissions end, and Vendau owes no compensation, damages, refund (including of any entry fee, which stays non-refundable), lost profit, or goodwill.

Vendau may sell, merge, assign, or transfer the platform or the business, in whole or in part, without your consent. The acquirer may, in its sole discretion, assume, renegotiate, or decline your arrangement; if it does not assume it, your arrangement terminates on the closing date, and any continuation is a new agreement with the acquirer, on the acquirer's terms.

Sergio Ignacio Durán García has obligations only for so long as he personally owns and operates the Vendau platform. On a sale, transfer, or discontinuation he is fully and finally released from every obligation and liability, and any claim lies solely against the acquirer, and only if that acquirer expressly assumed the arrangement in writing. Your obligations regarding Vendau's intellectual property, confidentiality, non-circumvention, and non-competition survive and run in favor of Vendau and any successor. 11. Rates are percentages and may change — see the Rate Schedule. Every percentage, rate, fee, and price in this document is illustrative and not fixed. The binding figures are the ones published in the Vendau Rate & Program Schedule at vendau.com/legal/rates, which prevails over any number stated here. Vendau may change, reduce, restructure, suspend, or discontinue any percentage, rate, fee, or program at any time, at its sole discretion, effective when posted, without prior notice and without your consent — including for changes in Vendau's prices, packages, services, client mix, or in AI/API/hosting/processing costs, or on Vendau's own commercial judgment. A change applies to all payments processed on or after its effective date, including payments from Dealers signed before it. Continued participation after the effective date is acceptance. No percentage is guaranteed, vested, or perpetual; a rate may be reduced to zero or a program discontinued, ending the corresponding share with no compensation, damages, refund, or lost-profit claim. Confirm the current version before relying on any number.

Al aceptar estos Términos de Referido, tú (el "Referidor") aceptas referir clientes ("Dealers") a la plataforma Vendau y recibir una participación por referido, en estos términos.

1. Eres un referidor independiente — no eres Vendau. Presentas posibles Dealers. No eres Vendau, ni su agente, empleado o socio, y no puedes representarte como tal ni hacer promesas en su nombre. Este nivel no requiere LLC, entidad ni compra.

2. La propiedad intelectual es 100% de Vendau. Todo el software, código, marca, dominios, infraestructura, diseños y métodos son y seguirán siendo propiedad exclusiva de Sergio Ignacio Durán García / Vendau. No recibes propiedad ni derecho alguno. No copiarás, replicarás, reproducirás, harás ingeniería inversa, ni construirás o ayudarás a un producto que imite o compita con Vendau usando lo que aquí conozcas.

3. Confidencialidad y no-circunvención. Desde que aceptas, guardas confidencial toda información no pública (precios, funciones, métodos, el programa), la usas solo para referir, y no circunvienes a Vendau para tratar directo con su tecnología, proveedores o Dealers presentados por Vendau. Sobreviven indefinidamente para secretos industriales.

4. Tu parte — 25% durante 12 meses, renovable por actividad (nunca vitalicia). Por cada Dealer que refieras que sea aceptado y pague, recibes el 25% de la utilidad (pago del Dealer menos costo de API/uso) sobre los pagos de ese Dealer, así:

   (a) Plazo inicial — 12 meses, garantizados. Doce (12) meses contados desde la fecha de inicio de ese Dealer (su primer mes pagado), mientras ese Dealer siga activo y pagando. Este plazo inicial no está sujeto a la prueba de actividad del inciso (b).

   (b) Renovación por actividad — un Dealer nuevo cada 6 meses. Terminados esos 12 meses, tu parte sobre ese Dealer continúa por periodos de renovación de 6 meses. Cada periodo inicia solo si referiste al menos un (1) Dealer nuevo que empezó a pagar durante los 6 meses inmediatos anteriores.

   (c) Si no refieres, se termina. Si en cualquier fecha de renovación no trajiste un Dealer nuevo que pagara en los 6 meses previos, tu parte sobre ese Dealer termina de forma definitiva en esa fecha. Referir después inicia un plazo nuevo de 12 meses solo para ese Dealer nuevo — no revive una parte ya terminada.

   (d) Ejemplo. Un Dealer que referiste inicia el 1 de enero de 2026. Tu 25% está garantizado hasta el 31 de diciembre de 2026. El 1 de enero de 2027 se revisan los 6 meses previos (julio–diciembre 2026): si ningún Dealer nuevo tuyo empezó a pagar en esa ventana, tu parte termina ese día; si sí, continúa hasta el 1 de julio de 2027, cuando se aplica la misma prueba, y así sucesivamente.

   (e) En todos los casos la parte corre solo mientras ese Dealer siga activo y pagando, solo mientras Vendau ofrezca el programa, y sujeta a terminación por incumplimiento. No es promesa vitalicia ni incondicional. Las fechas de inicio y de renovación las registra Vendau y son las que cuentan.

5. Vendau cobra; recibes neto. El Dealer paga 100% por adelantado en vendau.com (procesador de Vendau). Vendau absorbe las comisiones del procesador y te paga tu 25% neto. Tú no le cobras al Dealer ni manejas sus pagos en este nivel.

6. Límite de este nivel. Solo referidos casuales — hasta 1 Dealer nuevo por mes. Si quieres vender en volumen, cobrar tú, tener panel/herramientas de partner, exclusividad o white-label, ese es otro nivel que requiere LLC y el Vendau Licence Partner Agreement.

7. Sin exclusividad; revocable; Vendau sin obligación. No exclusivo: Vendau vende directo y trabaja con otros, incluso en tu zona. Vendau puede rechazar, demorar, revocar o terminar tu estatus de referido o cualquier referido en cualquier momento, por cualquier motivo o sin motivo, sin obligación de leads, volumen, territorio, uptime ni renovación. No tienes acceso al código, servidores o datos de Vendau, salvo tu propio link de referido y el estatus de tus Dealers referidos.

8. Aceptación electrónica. Aceptas marcando la casilla y enviando tu nombre como firma electrónica; se registra con versión, fecha, nombre, IP y navegador. La aceptación te obliga de inmediato.

9. Ley aplicable. Ley de Delaware; disputas por arbitraje vinculante (ICDR/AAA) con sede en Miami, FL; Vendau puede pedir medidas cautelares en cualquier tribunal para proteger su IP o información confidencial. Vendau puede actualizar estos Términos; la versión vigente es la que aceptaste.

10. Cierre, venta o cambio de control de la plataforma. Vendau puede discontinuar la plataforma, este programa o cualquier parte de ellos en cualquier momento, por cualquier motivo, con 30 días de aviso cuando sea posible. Al discontinuarse, este documento, tu licencia o tu estatus de referido, cualquier exclusividad y todas las participaciones y comisiones terminan, y Vendau no debe compensación, daños, reembolso (incluido cualquier costo de entrada, que sigue siendo no reembolsable), lucro cesante ni crédito mercantil.

Vendau puede vender, fusionar, ceder o transferir la plataforma o el negocio, total o parcialmente, sin tu consentimiento. El adquirente puede, a su entera discreción, asumir, renegociar o rechazar tu arreglo; si no lo asume, tu arreglo termina en la fecha de cierre, y cualquier continuación es un acuerdo nuevo con el adquirente, en los términos del adquirente.

Sergio Ignacio Durán García tiene obligaciones únicamente mientras él personalmente sea dueño y opere la plataforma Vendau. Ante una venta, transferencia o cierre queda liberado plena y definitivamente de toda obligación y responsabilidad, y cualquier reclamación procede solo contra el adquirente, y solo si ese adquirente asumió el arreglo por escrito. Tus obligaciones sobre propiedad intelectual, confidencialidad, no-circunvención y no-competencia sobreviven a favor de Vendau y de cualquier sucesor. 11. Las comisiones son porcentajes y pueden cambiar — consulta el Anexo de Tarifas. Todo porcentaje, tarifa, cuota y precio de este documento es ilustrativo y no fijo. Las cifras que obligan son las publicadas en el Anexo de Tarifas y Porcentajes de Vendau en vendau.com/legal/rates, que prevalece sobre cualquier número indicado aquí. Vendau puede cambiar, reducir, reestructurar, suspender o discontinuar cualquier porcentaje, tarifa, cuota o programa en cualquier momento, a su entera discreción, con efecto desde su publicación, sin aviso previo y sin tu consentimiento — incluso por cambios en precios, paquetes, servicios o mezcla de clientes de Vendau, en costos de IA/API/hospedaje/ procesamiento, o por el propio criterio comercial de Vendau. El cambio aplica a todos los pagos procesados en o después de su fecha de vigencia, incluidos los de Dealers firmados antes. Seguir participando después de la fecha de vigencia es aceptación. Ningún porcentaje está garantizado, consolidado ni es vitalicio; una tarifa puede reducirse a cero o discontinuarse un programa, terminando la participación correspondiente sin compensación, daños, reembolso ni lucro cesante. Confirma la versión vigente antes de confiar en cualquier número.
